Definition

“Account” means a registered user account created on the Platform in order to access certain Services and Member Content.

“Agent”, "property agent", “Salesperson” or "RES" means an individual who is registered with the Council for Estate Agencies (CEA) to carry out estate agency work for or on behalf of a licensed Estate Agent, in accordance with the Estate Agents Act 2010 of Singapore.

‍“App” means the Kucing mobile application.

“Buyer” means a User who uses the Platform to search for, enquire about, make an offer for, or purchase a property.

“Content” means any text, graphics, images,photographs, music, software, audio, video, information, data, listings,reviews, messages or other materials uploaded to, downloaded from, displayed on, or otherwise made available through the Services.

“Estate Agent” means the business entity (a sole proprietorship,partnership, or corporate company) holding a valid corporate license authorized to operate a property business, hold client accounts, and collect commissions 

“Guest” means a User who accesses or uses the Platform without creating an Account

“Homeowner” means a Member who owns, or represents that he or she is authorised to list, market, sell, rent out or otherwise deal with, a property on the Platform.

“Home Seeker” means a Buyer, Tenant or any other User searching for property through the Platform. 

‍“Kucing”, “we”, “us” or “our” means Kucing Pte. Ltd.
‍
“Kucing Content” means all Content that Kucing makes available through the Services, including the user interfaces, design, information, data,code, software, graphics, products, features, branding, and any content licensed from third parties, but excluding Member Content

“Listing” or “Property Listing” means any listing, advertisement,description, media, information or other content relating to a property that is submitted, posted or made available on the Platform by a Member, includin  glistings for sale, rent or room rental.

“Listing User” means a Member who creates, submits,posts or manages a Listing on the Platform, including a Homeowner or Agent User.

‍“Member” means a User who has completed the Account registration process in accordance with these Terms.

“Member Content” means all Content that a Member posts, uploads,publishes, submits, transmits, includes in a Listing or profile, or otherwise makes available through the Services.

“Person” means an individual, corporation, company, partnership, firm,trustee, trust, executor, administrator, legal personal representative,unincorporated association, joint venture, syndicate, business enterprise,governmental, administrative or regulatory authority or agency, and their respective successors, legal personal representatives and assigns.

“Platform” means the Website(s), the App and any other digital platform, product or service operated by or on behalf of Kucing.

‍“Property Agent” or “Salesperson” means an individual who is registered with the Council for Estate Agencies to carry out estate agency work for or on behalf of a licensed Estate Agent, in accordance with the Estate Agents Act2010 of Singapore.

“Services” means the products, features, tools, content and services made available by Kucing through the Platform.

“Tenant” means a User who uses the Platform to search for, enquire about, make an offer for, or rent a property or room.

‍“User” means any Person who accesses or uses the Platform, including a Guest, Member, Homeowner, Home Seeker, Buyer, Tenant,Agent User, Listing User or other viewer of the Website, App or Services.

“Website” means the website(s) operated by Kucing, including www.kucing.sg and any related webpages.

“You” or “your” means the User accessing or using the Platform.means a registered user account created on the Platform in order to access certain Services and Member Content.

Kucing’s role

Kucing and the Services may assist Users, whether Guests or Members, in searching for properties, creating or managing Listings, communicating with other Users, reviewing property-related information, and performing other tasks connected with a property journey.Unless expressly stated in these Terms or in any additional terms applicable to a specific Service or feature, the Services are provided for general information, convenience and platform facilitation purposes only. The Services do not constitute, and should not be relied upon as, financial, investment, legal, tax, valuation, estate agency, property, or other professional advice. Kucing is not responsible for advising Users on whether to buy, sell, rent, lease, list, offer for, or proceed with any property transaction. Users should make their own enquiries and obtain advice from suitably qualified professionals, including registered property agents, licensed estate agents, lawyers, financial advisers, tax advisers or other relevant professionals, where appropriate.You understand and agree that the Services may include advertisements, sponsored content or promotional materials. To make such advertisements more relevant and useful, Kucing may display advertisements based on information collected through or in connection with the Services, subject to our Privacy Policy  and applicable law.

Kucing is not a Real Estate Agent

Kucing is not an Estate Agent and does not hold an estate agent’s licence in Singapore. Kucing provides a technology platform that enables Users to search for properties, create and manage Listings, communicate with other Users, access property-related information and use other features made available through the Services.Unless expressly stated in any additional terms applicable to a specific Service or feature, Kucing is not responsible for any decision, action, omission, result, loss, damage or consequence arising directly or indirectly from your use of, or reliance on, the Services, any Listing, any Member Content, any Kucing Content, or any other information made available through or in connection with the Services.You acknowledge and agree that you are solely responsible for making your own enquiries, verifying any information that is relevant to you, and obtaining appropriate professional advice before entering into any property transaction or other arrangement.

Nothing in these Terms or the Services shall be construed as Kucing carrying out estate agency work, acting as a property agent, representing any User in a property transaction, or being a party to any transaction between Users.

Member(s)

Elegibility

You must be at least 21 years of age to create an Account and become a Member, unless Kucing expressly permits otherwise. By creating an Account or using the Services as a Member, you represent and warrant that:

• You are at least 21 years of age
• You have the legal capacity and authority to enter into and comply with these Terms
• All information that you provide to Kucing is true, accurate, current and complete
• Where you create, submit, post or manage a Listing, you have the necessary rights, authority and permissions to do so
• Where you register or use the Services as an Agent User, you are a registered Property Agent or Salesperson with the Council for Estate Agencies and are authorised to carry out estate agency work for or on behalf of a licensed Estate Agent

Users below 21 years of age may only access or use the Services with the consent and supervision of a parent or legal guardian, and may not create an Account, post a Listing, contact other Users, request viewings, make offers or provide personal information to Kucing unless permitted by Kucing and applicable law. The parent or legal guardian shall be responsible for the use of the Services by such user. Kucing may refuse registration, suspend or terminate any Account, restrict access to any Service, or remove any Listing or Member Content if Kucing believes that a User does not meet the eligibility requirements set out in these Terms, has provided false or misleading information, or has used the Services in breach of these Terms. A Guest may access Kucing Content and browse Listings, but may not post a Listing, contact other Users, request viewings, make offers, manage Listings, submit reviews or access any feature that Kucing makes available only to Members.

Signing up/Account/Registration

To access certain features of the Services, you may be required to create an Account, become a Member, and agree to any additional terms applicable to a specific Service or feature, which shall form part of these Terms.

When you register for an Account, you may be required to provide information about yourself, including your name, email address, phone number, contact details, identity verification information, agent registration details, or such other information as Kucing may reasonably require. You represent and warrant that all information you provide to Kucing is true, accurate, current and complete, and you agree to keep such information accurate and up to date at all times.

You are responsible for maintaining the confidentiality and security of your Account login details and for all activities, actions and omissions carried out through your Account, whether or not authorized by you. You must not share, transfer, assign, sell or otherwise allow any other person to use your Account.
‍
Unless expressly permitted by Kucing, you may only create and maintain one Account. Kucing reserves the right to refuse registration, suspend or terminate any Account, restrict access to the Services, remove Listings or Member Content, or take any other action available under these Terms if Kucing reasonably believes that you have created multiple Accounts, provided false or misleading information, misused the Services, or breached these Terms.

Unless you are an Agent User acting within the scope of your authority as a registered Property Agent or Salesperson, or unless you have entered into a separate written agreement with Kucing permitting you to use the Services on behalf of another person or entity, you may only use the Services for your own personal purposes and on your own behalf.
‍
If you use the Services on behalf of another person or entity, you represent and warrant that you have the full authority to do so and to bind that person or entity to these Terms, where applicable.

Password management

If you are provided with, or choose, a password or any other login credential that enables you to access your Account or certain parts of the Services, you are responsible for keeping such information confidential and secure.
‍
You are responsible for all activities, actions and omissions carried out through your Account, whether or not authorised by you. You must not disclose your password, login credentials, verification codes or account access details to any third party, and you must take reasonable steps to prevent unauthorised access to your Account.
‍
We encourage you to use a strong password and to follow any security instructions or authentication procedures made available by Kucing from time to time. If you know or suspect that your Account, password, login credentials or verification codes have been lost, stolen, compromised or used without authorisation, you must notify Kucing as soon as reasonably practicable.
‍
Kucing shall not be liable for any loss or damage arising from your failure to comply with your account security obligations under these Terms.
‍
Kucing reserves the right to disable, suspend, restrict or reset any password, login credential, verification method or Account at any time if, in our reasonable opinion, you have failed to comply with these Terms, or if we consider such action necessary to protect the security, integrity or proper operation of the Services.

Limitations

Kucing does not routinely review, verify, edit or approve all Member Content before it is posted, uploaded, submitted or made available through the Services. Each Member is solely responsible for the accuracy, completeness, legality and reliability of the Member Content that he or she provides, including any Listing, profile information, images, descriptions, messages, reviews or other materials.
Notwithstanding the above, Kucing reserves the right, but is not obliged, to review, verify, moderate, edit, refuse, remove, restrict access to, or take other action in respect of any Member Content, Listing, Account or information provided through the Services, including for security, identity verification, fraud prevention, compliance, platform integrity, user safety or other operational purposes.

If Kucing reasonably believes that any information, personal particulars, Member Content or Listing provided by you is false, inaccurate, misleading, unlawful, unauthorised, inappropriate, infringes the rights of any third party, or breaches or is likely to breach these Terms, Kucing may, without limiting its other rights and remedies, limit, suspend, deactivate or terminate your Account, remove or restrict your Listing or Member Content, restrict your access to the Services, or take such other action as Kucing considers appropriate.

Any reinstatement of your Account, Listing or Member Content shall be at Kucing’s sole discretion.
If you believe that Kucing has wrongly limited, suspended, deactivated or terminated your Account, Listing or Member Content, you may contact Kucing using the contact details set out in these Terms or the Privacy Policy and provide sufficient details of your complaint, including:

• Your Account details
• The relevant Listing or Member Content
• The reasons why you believe the action was incorrect.

Kucing’s verification, identity, security, listing review or pre-qualification procedures are carried out for platform, operational, security, compliance and user experience purposes only. Such procedures do not constitute an endorsement, certification, warranty or guarantee by Kucing of any User, Member, Agent User, Member Content, Listing, property, transaction, ownership status, authority to list, trustworthiness, safety, suitability, financial position or legal capacity.
‍
Any reference on the Platform to a User, Member, Agent User, Listing or other item being “verified” only means that the relevant User, Member, Agent User, Listing or item has completed the applicable verification or security procedure made available by Kucing at the relevant time. It does not mean that Kucing has independently verified all information provided, guarantees its accuracy or completeness, or recommends that User, Member, Agent User, Listing or transaction.

You remain responsible for making your own enquiries, verifying information that is relevant to you, and obtaining appropriate professional advice before entering into any property transaction or other arrangement.
‍
Kucing shall not be liable for any loss or damage arising from your reliance on any verification, security, listing review, or from your failure to comply with your obligations under these Terms

Use of services & restrictions

License to use the services

Subject to your compliance with these Terms, Kucing grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services, and to download, install and use the App on your personal device, solely for the purposes permitted by these Terms.

This licence is granted for your personal use, or where applicable, for your professional use as an Agent User acting within the scope of your authority as a registered Property Agent or Salesperson. You must not use the Services or the App for any unlawful purpose, or in any manner that is not expressly permitted by these Terms.

General restrictions

Except as expressly permitted under these Terms, you are not granted any right or licence to copy, reproduce, modify, adapt, distribute, sell, lease, sublicense, publicly display, publicly perform, frame, mirror, scrape, extract, republish, upload, transmit, provide access to, or otherwise exploit any part of the Services, Kucing Content, software, data, features, user interface, design, or other materials made available through the Platform.

You must not use the Services, the App, Kucing Content, Member Content or any information made available through the Platform on or in connection with any third-party website, application, platform, product, service, database, marketplace or advertising channel, except with Kucing’s prior written consent or as expressly permitted by these Terms.
‍
The Services may include software, tools and technology made available for use in connection with the Services only. You must not copy, modify, reverse engineer, decompile, disassemble, attempt to derive the source code of, interfere with, or create derivative works based on any part of the Services or software, except to the extent such restriction is prohibited by applicable law.
‍
Unless expressly permitted by Kucing for a specific Service or feature, the Services may only be used in connection with residential property transactions or enquiries. Kucing may restrict, refuse or remove any Listing or use of the Services relating to commercial, industrial, retail, office, hospitality, serviced apartment, short-term accommodation, holiday rental, vacation rental or other non-residential property transactions.

Buy and Sell Offers made through Kucing app

All offers, expressions of interest (EOI), proposed prices, acceptances, counter-offers or other communications made through Kucing are for discussion and negotiation purposes only. They are non-binding, subject to contract, and do not create any legally binding obligation on any User to buy, sell, rent, lease, grant an option, enter into a tenancy agreement, complete a transaction, or proceed with any arrangement.
‍
No legally binding property transaction shall arise through the Services unless and until the relevant parties have entered into the required written agreements, instruments or transaction documents outside the Platform, in the form and manner required by applicable law.
‍
Where a User wishes to proceed with a transaction, the User is responsible for obtaining appropriate professional advice and preparing, reviewing and executing the necessary documents, including through a lawyer, licensed estate agent, registered property agent, or other suitably qualified professional where appropriate.
‍
Kucing may, where available, facilitate introductions to third-party legal or professional service providers. However, Kucing does not provide legal advice, does not act as a lawyer, estate agent or transaction representative, and is not responsible for the advice, services, documents, acts or omissions of any third-party service provider.

Mobile application(s)

To use the App or any mobile application features of the Services, you must have a compatible mobile device, operating system, internet connection and any other technical requirements that may be necessary from time to time.

Kucing does not warrant that the App or any mobile application feature of the Services will be compatible with your device, operating system, browser, network, mobile service provider or any particular hardware or software configuration.
‍
You may incur mobile data, internet, roaming or other charges from your mobile service provider, internet service provider or other third-party provider when you access or use the App or the Services. You are solely responsible for all such charges.
‍
Kucing may update, modify, suspend, remove or discontinue any App, mobile application feature, functionality or content from time to time. The App may also be updated automatically, depending on your device settings, app store settings or operating system settings. You acknowledge and agree that these Terms shall apply to all updates, upgrades, patches, modifications and new versions of the App.
‍
Certain features of the App may require access to device functions or permissions, such as location, camera, photos, notifications or other device features. If you do not grant or later disable such permissions, some features of the App or Services may not function properly or may not be available.
If you download the App from a third-party app store or platform, including the Apple App Store or Google Play, your download and use of the App may also be subject to the terms, conditions and policies of that third-party app store or platform. Kucing is not responsible for the availability, terms, policies, acts or omissions of any third-party app store or platform.

Any third-party or open-source software included in the App is subject to the applicable third-party or open-source licence terms. These Terms do not limit any rights you may have under such third-party or open-source licence terms.

Use of content

Subject to these Terms, you may access, view, save, print, download or share limited extracts of Content made available through the Services solely for your own personal use, or where applicable, for your professional use as an Agent User acting within the scope of your authority as a registered Property Agent or Salesperson.

You must not use any automated process, scraper, bot, crawler, spider, data-mining tool, extraction tool or similar method to access, copy, extract, collect, monitor or reproduce any part of the Services, Kucing Content, Member Content, Listings, data, database, software, user interface or other materials made available through the Platform.
‍
Kucing may make available certain aggregated, anonymised or statistical property-related data through the App, Website or Services, including market insights, transaction trends, pricing information, heatmap data or other similar information (“Data”).
‍
Unless otherwise restricted by Kucing, you may use limited extracts of the Data for non-personal purposes such as internal research, real estate market analysis, presentations or reports, provided that:
(a) the Data is not used in a misleading, unlawful or deceptive manner;
(b) the Data is not reproduced, extracted, redistributed, sold, licensed, republished or made available as a standalone dataset, database, competing product, marketplace, platform or data service;
(c) the Data is not combined with other information in a way that identifies, or is intended to identify, any individual User;
(d) Kucing is clearly cited as the source on every page, slide, chart, graph, report or other material where the Data is displayed, using the wording “Data provided by Kucing”; and
(e) such citation does not include any Kucing logo, trade mark, branding or visual identity without Kucing’s prior written approval, and does not imply any partnership, sponsorship, endorsement or other relationship between you and Kucing.

You must not display, distribute, reproduce, publish, sell, license, scrape, extract or otherwise use any Kucing Content, Data, Member Content, Listings or other materials from the Services except as expressly permitted under these Terms or with Kucing’s prior written consent.
‍
Kucing reserves the right to restrict, suspend or terminate access to the Services, Data or any feature of the Platform if Kucing reasonably believes that you have used the Content or Data in breach of these Terms.

Availability and Changes to the Service

Kucing may, at any time and at its sole discretion, modify, update, suspend, restrict, withdraw, discontinue or stop providing all or any part of the Services, including any feature, functionality, content, storage, usage limit or access right, whether for a specific User or for Users generally.

Kucing may do so temporarily or permanently, with or without prior notice, including for maintenance, security, operational, technical, legal, business or platform integrity reasons.
‍
Kucing does not represent, warrant or guarantee that the Services, the Platform, any feature, any Content or any information made available through the Services will always be available, uninterrupted, secure, accurate, complete, current, error-free or free from omissions.
‍
Access to the Services is provided on a temporary and “as available” basis. Kucing shall not be liable for any loss or damage arising from the unavailability, suspension, restriction, withdrawal, discontinuance, modification or interruption of the Services, any feature, any Content or any part of the Platform.
‍
You are responsible for making all arrangements necessary for you to access and use the Services, including obtaining and maintaining any compatible device, software, internet connection, mobile data plan or other equipment or services required. You are also responsible for ensuring that any person who accesses the Services through your Account, device, network or internet connection is aware of and complies with these Terms and any applicable additional terms.

Prohibited uses

By accessing or using the Services, you agree that you shall not, and shall not permit, assist or encourage any other person to:
‍
(a) use the Services for any unlawful, fraudulent, harmful, misleading, abusive or unauthorised purpose;
(b) use the Services in any manner that breaches these Terms, any applicable law, regulation, rule, code of conduct, guideline or requirement of any governmental, administrative or regulatory authority;
(c) create, submit, post, manage or promote any Listing if you do not own the relevant property, are not authorised by the owner to do so, or do not otherwise have the necessary rights, authority and permissions;
(d) register, represent yourself or act as an Agent User, Property Agent or Salesperson unless you are duly registered with the Council for Estate Agencies and authorised to carry out estate agency work for or on behalf of a licensed Estate Agent;
(e) impersonate any person or entity, misrepresent your identity, affiliation, authority, ownership status, agency relationship, CEA registration status, licence status, or relationship with any person or entity;
(f) provide, upload, post, transmit or make available any false, inaccurate, outdated, incomplete, misleading, deceptive or unauthorised information, including in any Account, profile, Listing, message, offer, review, image, document or other Member Content;
(g) post, upload or make available any Listing, image, description, price, availability, floor area, tenure, location, ownership information or other property-related information that you know, or ought reasonably to know, is false, misleading, deceptive, outdated or inaccurate;
(h) use the Services to advertise, market, promote or transact in any property category that Kucing does not support or permit, including commercial, industrial, retail, office, hospitality, serviced apartment, short-term accommodation, holiday rental, vacation rental or other non-residential property transactions, unless expressly permitted by Kucing;
(i) copy, reproduce, modify, adapt, translate, distribute, sell, lease, sublicense, display, publish, republish, transmit, frame, mirror, scrape, extract, download, archive or otherwise exploit any part of the Services, Kucing Content, Data, software, user interface, design, Listing, Member Content or other materials, except as expressly permitted under these Terms;
(j) use any robot, bot, scraper, spider, crawler, data-mining tool, extraction tool, automated query, screen scraping, database scraping, harvesting tool or similar process to access, copy, monitor, extract, collect, index, test, analyse or reproduce any part of the Services, Kucing Content, Data, Listings, Member Content or other information made available through the Platform;
(k) use the Services, Kucing Content, Data, Listings, Member Content or any information made available through the Platform to create, train, improve, support, operate or promote any competing product, service, marketplace, database, data product, artificial intelligence model or platform;
(l) access, collect, store, use, disclose, sell, share, harvest or otherwise process any personal data, contact details, messages, images, documents or other information of any User except as expressly permitted by these Terms and applicable law;
(m) send spam, unsolicited messages, bulk messages, chain letters, pyramid schemes, promotions, advertising, marketing messages or other similar communications through the Services, except as expressly permitted by Kucing and applicable law;
(n) harass, threaten, abuse, defame, intimidate, discriminate against, demean, exploit, stalk or otherwise harm any User or any other person;
(o) upload, post, transmit or make available any content that is unlawful, offensive, obscene, defamatory, discriminatory, hateful, threatening, abusive, harassing, misleading, deceptive, fraudulent or otherwise inappropriate, as determined by Kucing in its sole discretion;
(p) post, submit or manipulate any review, rating, feedback or other user-generated content in a false, misleading, abusive, retaliatory, incentivised, coordinated or fraudulent manner;
(q) interfere with, disrupt, overload, damage, impair, compromise or bypass the security, integrity, availability or proper operation of the Services, the Platform, any Account, any system, network, server, database or security measure;
(r) upload, transmit or introduce any virus, worm, Trojan horse, malware, spyware, ransomware, harmful code, corrupted data, software agent or other technology that may damage, disrupt, intercept, exfiltrate or interfere with the Services or any system, data or device;
(s) attempt to gain unauthorised access to any Account, system, network, server, database, source code, non-public area of the Services or any information that you are not authorised to access;
(t) reverse engineer, decompile, disassemble, decode, modify, adapt or attempt to derive the source code, structure, sequence or organisation of any software, technology or feature forming part of the Services, except to the extent such restriction is prohibited by applicable law;
(u) remove, obscure, modify or interfere with any copyright, trade mark, proprietary notice, disclaimer, warning, attribution or other notice appearing on or through the Services;
(v) use any Kucing name, logo, trade mark, branding, domain name, visual identity, trade dress or other proprietary identifier without Kucing’s prior written consent, including as part of any Account name, profile, Listing, advertisement, domain name, social media handle or promotional material;
(w) suggest, imply or represent that Kucing sponsors, endorses, certifies, guarantees, verifies, partners with or is otherwise associated with you, your Listing, your services, your business or any third party, unless expressly approved by Kucing in writing;
(x) use the Services in a manner that may expose Kucing, its affiliates, service providers, suppliers, partners, officers, employees, agents, Users or other persons to legal, regulatory, reputational, operational or security risk;
(y) circumvent, disable, bypass or interfere with any usage limits, access controls, verification procedures, security features, content moderation tools or other measures used by Kucing to protect the Services; or
(z) attempt to do, or assist, encourage, procure, permit or enable any other person to do, any of the above.

Access and fees

Kucing may make certain features of the Services available free of charge to Guests or Members. Access to free features may be limited, modified, suspended or discontinued by Kucing at any time, subject to these Terms.

Certain features, tools, content, plans or Services may require payment of fees. Where fees apply, the applicable fees, billing period, payment method, renewal terms and any additional terms will be made available to you before or at the time of purchase, subscription or activation of the relevant paid Service.

Unless otherwise stated, all fees are stated in Singapore dollars. Fees are exclusive of any applicable taxes, duties, levies, charges or payment processing fees, unless expressly stated otherwise. You are responsible for paying all applicable fees and taxes in connection with your use of any paid Services.
‍
By purchasing, subscribing to or activating any paid Service, you authorise Kucing and/or its authorised third-party payment processors, including any applicable app store or payment platform, to charge the payment method you provide for all applicable fees, taxes and charges.
All fees are non-refundable, except where expressly stated by Kucing, required by applicable law, or required under the terms of the relevant third-party payment processor, app store or payment platform.

Kucing may change, introduce, remove or vary any fees, charges, plans, limits or paid features from time to time. Where a change affects an existing paid Service or Subscription Service, Kucing will provide advance notice where reasonably practicable. If you do not agree to the change, you may cancel the relevant paid Service or Subscription Service before the change takes effect. If you do not cancel, your continued use of the paid Service after the change takes effect will constitute your acceptance of the change.

The Services may include automatically recurring paid features or plans (“Subscription Services”). If you activate a Subscription Service, you authorise Kucing and/or its authorised third-party payment processors to charge you automatically on a recurring basis for the applicable subscription fees, taxes and charges until the Subscription Service is cancelled or terminated.
Your Subscription Service will continue and renew automatically at the end of each billing period unless it is cancelled before the renewal date or terminated in accordance with these Terms. You must cancel your Subscription Service before it renews in order to avoid being charged for the next billing period.

If your Subscription Service is purchased through a third-party app store or payment platform, including the Apple App Store or Google Play, cancellation, refund requests, billing management and payment disputes may need to be handled through that third-party app store or payment platform and may be subject to its terms, conditions and policies.

Unless otherwise stated in any additional terms applicable to a specific Service or feature, you may cancel a Subscription Service through the subscription management tools made available by Kucing, the relevant third-party payment processor, or the relevant app store or payment platform through which the Subscription Service was purchased.
‍
Kucing may suspend, restrict or terminate access to any paid Service or Subscription Service if payment is not received, if a payment method is declined, if a chargeback or payment dispute is raised, or if Kucing reasonably believes that the Service has been misused or used in breach of these Terms.

Member Content

Certain features of the Services may allow Members to create, upload, submit, post, transmit, publish, display or otherwise make available Member Content through the Platform, including Listings, descriptions, photographs, videos, documents, messages, reviews, profile information and other materials.
‍
You retain any ownership rights that you may have in your Member Content. However, by creating, uploading, submitting, posting, transmitting, publishing, displaying or otherwise making available any Member Content through the Services, you grant Kucing a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to use, host, store, reproduce, copy, display, publish, transmit, distribute, modify, adapt, edit, translate, reformat, create derivative works from and otherwise use such Member Content for the purposes of operating, providing, maintaining, securing, moderating, improving, developing, promoting and marketing the Services, the Platform and Kucing’s business.

This licence includes the right for Kucing to make Member Content available to other Users through the Services, to use Member Content in connection with Listings, search results, property alerts, market insights, notifications, customer support, fraud prevention, platform integrity, promotional materials, social media, advertising, and other channels connected with the Services.
‍
You acknowledge and agree that Kucing is not required to pay you or any third party for any use of Member Content in accordance with these Terms.
‍
You represent and warrant that, for all Member Content that you make available through the Services:(a) you are the owner of the Member Content, or you have obtained all necessary rights, licences, consents, permissions and approvals to make the Member Content available through the Services and to grant the rights set out in these Terms;
(b) the Member Content does not infringe, misappropriate or otherwise violate any intellectual property, privacy, confidentiality, publicity, contractual, proprietary or other rights of any person;
(c) where the Member Content contains personal data, images, videos, names, contact details, documents or other information relating to any person, you have obtained all necessary consents and provided all necessary notifications required under applicable law, including the PDPA, for the collection, use, disclosure and processing of such information through the Services;
(d) the Member Content is true, accurate, current, complete and not misleading, to the extent it relates to a Listing, property, availability, price, ownership, authority to list, agent status, transaction, review or other property-related matter; and
(e) the Member Content complies with these Terms and all applicable laws, regulations, rules, codes of conduct and guidelines.

Kucing may, but is not obliged to, review, edit, modify, refuse, remove, restrict, disable access to or delete any Member Content at any time, including where Kucing reasonably believes that the Member Content breaches these Terms, is inaccurate or misleading, infringes any rights, creates legal or regulatory risk, affects platform integrity, or is otherwise inappropriate.The licence granted to Kucing under this clause continues for as long as necessary for Kucing to operate, provide, secure, improve, promote and maintain the Services, and to comply with legal, regulatory, audit, backup, archival, dispute resolution and enforcement requirements. Where you delete Member Content or terminate your Account, Kucing will handle such Member Content in accordance with these Terms and the Privacy Policy, but you acknowledge that copies may remain in backups, archives, records, logs, cached pages, communications with other Users, or materials already generated, shared, published or used before deletion.

Member Content Disclaimer and Moderation

Kucing is not obliged to monitor, review, verify, edit, approve or control Member Content before it is posted, uploaded, submitted, transmitted or otherwise made available through the Services. Each Member remains solely responsible for all Member Content created, uploaded, submitted, posted, transmitted or otherwise made available through that Member’s Account or through the Services.

Kucing does not endorse, certify, guarantee or assume responsibility for any Member Content, including any Listing, profile information, message, review, photograph, video, document, description, price, availability, ownership information, agent status or other material made available by any Member.
‍
Notwithstanding the above, Kucing reserves the right, but is not obliged, to screen, review, moderate, edit, refuse, remove, restrict, block, disable access to, or delete any Member Content at any time and without prior notice, if Kucing considers, in its sole discretion, that such Member Content breaches these Terms, may infringe any rights, may breach applicable law, may create legal, regulatory, operational, reputational or security risk, may affect platform integrity or user safety, or is otherwise inappropriate or objectionable.

You acknowledge that, when using the Services, you may be exposed to Member Content provided by other Users that may be inaccurate, incomplete, outdated, misleading, offensive, indecent, objectionable or otherwise unsuitable. You access and rely on such Member Content at your own risk.
To the maximum extent permitted by applicable law, Kucing disclaims all liability arising from or in connection with Member Content, including any errors, omissions, inaccuracies, infringement, loss, damage or reliance on such Member Content.

If Kucing is notified by any User, rights owner or other Person that any Member Content allegedly breaches these Terms, infringes any rights, violates applicable law or is otherwise inappropriate, Kucing may investigate the allegation and determine, in its sole discretion, whether to remove, restrict, disable access to or take any other action in respect of such Member Content.

Nothing in this clause limits Kucing’s right to cooperate with law enforcement, regulatory authorities, rights owners, payment providers, service providers or other relevant parties where Kucing considers it necessary or appropriate to protect the Services, comply with applicable law, enforce these Terms, or protect Kucing, Users or third parties.

Third-Party Links, Services and Providers

The Services may contain links to, integrations with, or access to third-party websites, applications, products, services, tools, content, materials or resources that are not owned or controlled by Kucing, including payment providers, app stores, map providers, identity verification providers, legal service providers, property service providers, analytics providers, advertising partners and other third-party providers (“Third-Party Providers”).

Third-Party Providers are solely responsible for their own websites, applications, products, services, tools, content, materials, terms, policies, practices, acts and omissions. Your access to or use of any Third-Party Provider’s websites, applications, products, services or tools may be subject to that Third-Party Provider’s own terms of use, privacy policy and other applicable terms, and you are responsible for reviewing and complying with them.

Kucing does not control, endorse, certify, guarantee or assume responsibility for any Third-Party Provider, or for any third-party website, application, product, service, tool, content, material, advice, document, information, offer, statement or representation made available by or through any Third-Party Provider.
‍
Certain features of the Services may allow you to request, authorise or enable the disclosure, transfer or sharing of your Member Content, contact details, personal data, Listing information, enquiry details, transaction-related information or other information (“User Information”) with a Third-Party Provider. Where you use such features, you acknowledge and agree that Kucing may disclose, transfer or make available the relevant User Information to the applicable Third-Party Provider for the purposes of providing, facilitating or enabling the relevant feature, request, service, enquiry, transaction or interaction, subject to these Terms, our Privacy Policy and applicable law.

Your dealings, communications, transactions, appointments, instructions, payments, agreements or other arrangements with any Third-Party Provider are solely between you and that Third-Party Provider. Kucing is not a party to such dealings or arrangements and is not responsible for any advice, services, documents, products, fees, charges, acts, omissions, representations, errors, delays, losses, disputes or damages arising from or in connection with any Third-Party Provider.

If you submit a contact form, request an introduction, express interest in a third-party service, or otherwise choose to share your information with a Third-Party Provider through the Services, that Third-Party Provider may contact you using the contact information you provide, subject to applicable law and any consent required for marketing or promotional communications.Third-Party Providers may collect, use, disclose, retain or otherwise process your User Information in accordance with their own terms, privacy policies and practices. Kucing is not responsible for the privacy, data protection or security practices of Third-Party Providers, except to the extent required by applicable law.Certain aspects of the Services may include third-party tools, software, integrations, application programming interfaces, plug-ins, widgets, maps, analytics, payment functions or other technologies that are subject to additional third-party terms. Your use of such tools, integrations or technologies is subject to the applicable third-party terms, conditions and policies.

Intellectual property

The Services are owned and operated by Kucing. All Kucing Content, the Platform, the App, the Website, and all software, technology, source code, object code, databases, designs, layouts, user interfaces, features, graphics, text, trade marks, logos, branding, trade names, domain names, data compilations, and other materials made available by or on behalf of Kucing are owned by Kucing or its licensors, and are protected by intellectual property laws and other applicable laws.

Except as expressly permitted under these Terms, you are not granted any right, title or interest in or to the Services, the Platform, the App, the Website, Kucing Content, Kucing’s trade marks, logos, branding, data, software or other intellectual property. All rights not expressly granted to you under these Terms are reserved by Kucing and its licensors.
‍
You must not copy, reproduce, modify, adapt, translate, distribute, publish, display, perform, transmit, sell, license, sublicense, create derivative works from, or otherwise exploit any Kucing Content or any part of the Services, except as expressly permitted under these Terms or with Kucing’s prior written consent.

Member Content, including Listing images, descriptions, photographs, videos, documents, reviews, messages and other materials uploaded or provided by Members, may be owned by the relevant Member or by a third party. Kucing does not claim ownership of such Member Content, except for the rights granted to Kucing under these Terms.
‍
You acknowledge that your access to Member Content through the Services does not grant you any right to copy, use, reproduce, distribute, publish, display, modify or otherwise exploit such Member Content, except as expressly permitted under these Terms or with the permission of the relevant rights owner and in accordance with applicable law.
‍
Nothing in these Terms gives you the right to use any Kucing name, logo, trade mark, service mark, domain name, branding, trade dress or other proprietary identifier without Kucing’s prior written approval.

Intellectual property infringement policy

Kucing respects the intellectual property rights of others and expects Users to do the same. Members must not upload, post, transmit, publish or otherwise make available any Member Content that infringes or may infringe the copyright, trade mark, design, confidential information, privacy rights, publicity rights or other rights of any person.

If you believe that any Content made available through the Services infringes your intellectual property rights, you may submit a written notice to Kucing at [insert contact email or address] (“IP Notice”).
‍
Your IP Notice should include:
(a) your full name, address, telephone number and email address;
(b) sufficient details of the intellectual property right that you claim has been infringed, including, where applicable, the title, description, registration number, owner details or other identifying information;
(c) sufficient details of the allegedly infringing Content, including the relevant URL, Listing, Account, screenshot, description or other information reasonably necessary for Kucing to locate the Content on the Services;
(d) a statement that you have a good faith belief that the use of the Content complained of is not authorised by the rights owner, its agent, or applicable law;
(e) a statement that the information in your IP Notice is true, accurate and complete, and that you are the rights owner or are authorised to act on behalf of the rights owner; and
(f) your physical or electronic signature.

Kucing may reject any IP Notice that is incomplete, unclear, not submitted in English, or does not contain sufficient information for Kucing to assess or locate the allegedly infringing Content.

Upon receiving an IP Notice, Kucing may, in its sole discretion, investigate the matter and take such action as it considers appropriate, including removing, disabling access to, restricting, suspending or reinstating the relevant Content, Listing, Account or Member Content.
‍
Kucing may notify the Member who uploaded or provided the relevant Content and may provide that Member with details of the IP Notice, including the complainant’s contact details, where Kucing considers it necessary or appropriate.
‍
Kucing may request further information from the complainant, the relevant Member, or any other person before taking action. Kucing is not obliged to resolve disputes between Users, Members, rights owners or third parties regarding intellectual property ownership, licensing or infringement.
Any person who submits an IP Notice represents and warrants that the information provided is true, accurate and complete, and agrees to indemnify Kucing against any loss, damage, liability, cost or expense arising from any false, inaccurate, misleading, abusive or bad-faith IP Notice.
‍
Kucing reserves the right to suspend or terminate Accounts, remove Member Content, restrict access to the Services, or take other action against Users who repeatedly or materially infringe intellectual property rights or submit false, misleading or abusive complaints.

Account Deletion, Suspension and Termination

Except as stated in any additional terms applicable to a specific Service or feature, you may request deletion of your Account at any time through the account deletion function made available in your Account settings, or through any other account deletion method made available by Kucing from time to time.

You may also request deletion of personal data associated with your Account by contacting Kucing using the contact details set out in these Terms or in the Privacy Policy. Kucing will handle such requests in accordance with its Privacy Policy and applicable law.
‍
Deleting your Account may result in the deletion, removal, restriction or deactivation of your profile, Listings, messages, reviews, saved searches, alerts, preferences, Member Content and access to paid or free Services associated with your Account. Certain information may continue to be retained where necessary or permitted for legal, regulatory, compliance, tax, accounting, audit, security, fraud prevention, dispute resolution, enforcement, backup, archival or legitimate business purposes.

If you delete your Account, you remain responsible for all fees, charges, taxes and other amounts incurred before deletion or termination. Deleting your Account may not automatically cancel any active Subscription Service purchased through Kucing, a third-party payment processor, the Apple App Store, Google Play or any other third-party app store or payment platform. You are responsible for cancelling any active Subscription Service in accordance with the applicable cancellation process.

If you breach any provision of these Terms, your right to access and use the Services may terminate automatically. Kucing may, at any time and in its sole discretion, suspend, restrict, deactivate or terminate your Account, your access to the Services, or any Listing or Member Content, with or without prior notice, if Kucing reasonably believes that you have breached these Terms, provided false or misleading information, created legal, regulatory, operational, reputational or security risk, misused the Services, or acted in a manner that may harm Kucing, the Services, other Users or third parties.
‍
Kucing may also modify, suspend, restrict, withdraw, discontinue or terminate all or any part of the Services in accordance with these Terms.
‍
Kucing shall not be liable for any loss or damage arising from or in connection with any Account deletion, data deletion request, suspension, restriction, deactivation, termination, modification, withdrawal, discontinuance or loss of access to the Services, except to the extent such liability cannot be excluded under applicable law.
‍
Any provisions of these Terms which by their nature should survive deletion, suspension, restriction, deactivation or termination shall continue to apply, including provisions relating to fees, intellectual property, Member Content licences, disclaimers, limitation of liability, indemnities, dispute resolution, governing law, and any other accrued rights or obligations.

Feedback

If you choose to provide Kucing with any ideas, suggestions, comments, proposals, recommendations, feature requests, improvements, bug reports or other feedback relating to the Services, Kucing Content, Member Content, the Platform, the App, the Website or Kucing’s business (“Feedback”), you acknowledge and agree that such Feedback is provided voluntarily and is not confidential.

To the maximum extent permitted by applicable law, you grant Kucing a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, fully paid and royalty-free right to use, copy, modify, adapt, publish, distribute, disclose, commercialise, incorporate into other works, and otherwise exploit such Feedback in any manner and for any purpose, including to improve, develop, market, operate or create products, services, features or technologies.
‍
Kucing is not required to compensate, credit or obtain further approval from you or any third party for any use of Feedback. Kucing is under no obligation to review, use, return, keep confidential or act on any Feedback.

Changes to These Terms

Kucing may update, amend or replace these Terms from time to time at its sole discretion. Any changes will take effect when the updated Terms are posted on the Platform, or on such later date as may be stated in the updated Terms.

Where changes are material, Kucing will make commercially reasonable efforts to notify you, which may include notice through the Platform, the App, the Website, email, push notification or other reasonable means.
‍
Your continued access to or use of the Services after the updated Terms take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and, where applicable, delete your Account.
‍
You are responsible for reviewing these Terms from time to time to ensure that you understand the terms that apply to your use of the Services.

Privacy policy

Kucing collects, uses, discloses, stores and processes personal data in accordance with its Privacy Policy and applicable law.
‍
By accessing or using the Services, creating an Account, submitting Member Content, using any feature of the Platform, or otherwise providing personal data to Kucing, you acknowledge that your personal data will be handled in accordance with our Privacy Policy.
‍
Our Privacy Policy forms part of these Terms by reference and should be read together with these Terms. If there is any inconsistency between these Terms and the Privacy Policy in relation to the collection, use, disclosure, storage, protection, retention or processing of personal data, the Privacy Policy shall prevail to the extent of such inconsistency.

Indemnifications

To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless Kucing, its affiliates, and their respective directors, officers, employees, agents, contractors, licensors, service providers, partners, successors and assigns (“Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising out of or in connection with:
(a) your access to or use of the Services;
(b) your breach or alleged breach of these Terms;
(c) your violation of any applicable law, regulation, rule, code of conduct, guideline or third-party right;(d) your Member Content, including any Listing, message, review, image, video, document, description, data or other content that you create, upload, submit, post, transmit or otherwise make available through the Services;
(e) your creation, submission, publication, management or promotion of any Listing;
(f) any false, inaccurate, incomplete, misleading, unauthorised or unlawful information provided by you, including in relation to your identity, ownership status, authority to list, agent status, CEA registration status, property information, availability, price or transaction details;
(g) any dispute, communication, transaction, arrangement, appointment, viewing, offer, negotiation or interaction between you and any User, Member, Agent User, Third-Party Provider or other third party;(h) your misuse of the Services, Kucing Content, Data, Member Content, Listings, personal data or any information made available through the Platform;
(i) your fraud, negligence, wilful misconduct or wrongful act or omission; or
(j) any access to or use of the Services through your Account, password, login credentials or device, whether or not authorised by you, except to the extent caused by Kucing’s own breach of these Terms.

Kucing reserves the right, at its own cost, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. If Kucing does so, you agree to cooperate fully with Kucing in the defence, settlement or handling of the matter.

You must not settle any claim or matter in a way that imposes any liability, obligation, admission, restriction or expense on any Indemnified Party without Kucing’s prior written consent.
This indemnity shall survive the suspension, restriction, termination or deletion of your Account, your access to the Services, or these Terms.

No warranties

To the maximum extent permitted by applicable law, the Services, the Platform, the App, the Website, Kucing Content, Data, Member Content, Listings, features, tools and any information made available through or in connection with the Services are provided on an “as is” and “as available” basis.
Kucing does not represent, warrant or guarantee that the Services, the Platform, the App, the Website, Kucing Content, Data, Member Content, Listings or any information made available through or in connection with the Services will be accurate, complete, current, reliable, suitable, secure, uninterrupted, error-free, free from defects, free from viruses or other harmful components, or available at any particular time or location.

To the maximum extent permitted by applicable law, Kucing disclaims all representations, warranties, conditions and undertakings, whether express, implied, statutory or otherwise, including any warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, quiet enjoyment, or arising from course of dealing, course of performance or usage of trade.

Kucing does not warrant or guarantee any User, Member, Agent User, Listing User, Third-Party Provider, Listing, property, transaction, offer, communication, review, viewing, legal service, professional service, document, advice, statement or representation made available through or in connection with the Services.
‍
No advice, information, communication or content, whether oral or written, obtained from Kucing, through the Services, or from any User, Member, Agent User, Third-Party Provider or other person, shall create any warranty, representation, undertaking or obligation by Kucing that is not expressly stated in these Terms.
‍
You acknowledge and agree that you access and use the Services at your own risk. You are solely responsible for making your own enquiries, verifying any information that is relevant to you, assessing the suitability of any property, Listing, User, offer, transaction or professional service, and obtaining appropriate professional advice before making any decision or entering into any arrangement.
‍
You are solely responsible for any damage to your device, computer system, network, software or data, and for any loss of data, content or information, arising from your access to or use of the Services, except to the extent such liability cannot be excluded under applicable law.
‍
Nothing in these Terms excludes, restricts or modifies any right, warranty, condition or liability that cannot lawfully be excluded, restricted or modified under applicable law.

Platform Disclaimer

Kucing is an online property technology platform that enables Users to search for properties, create and manage Listings, communicate with other Users, access property-related information, and use other features made available through the Services.
‍
Listings may be created or managed by Homeowners, Agent Users or other authorised Listing Users. Home Seekers, including Buyers and Tenants, may use the Services to search for properties, make enquiries, request viewings, express interest, submit non-binding offers, communicate with Listing Users, and perform other property-related activities through the Platform.
‍
You acknowledge and agree that Kucing is not an Estate Agent, Property Agent, Salesperson, broker, transaction representative, legal adviser, financial adviser, tax adviser, valuation adviser or other professional adviser. Kucing does not represent any User in any property transaction and is not a party to any agreement, arrangement, offer, negotiation, viewing, sale, purchase, lease, tenancy or other transaction between Users.

Kucing has no control over, and does not guarantee, the conduct, identity, authority, reliability, honesty, suitability or availability of any User, Member, Homeowner, Home Seeker, Buyer, Tenant, Agent User, Listing User, Third-Party Provider or other person using or connected with the Services.
‍
Kucing does not guarantee the accuracy, completeness, legality, availability, condition, ownership, title, authority to list, price, rental amount, floor area, location, description, images, documents, representations or other information relating to any Listing, property, Member Content or communication made available through the Services.
‍
Any information, data, views, opinions, market insights, pricing information, recommendations, content, tools or features made available through or in connection with the Services are provided for general information, convenience and platform facilitation purposes only. They do not constitute financial, investment, legal, tax, valuation, estate agency, property or other professional advice, and should not be relied upon as such.
‍
You are solely responsible for making your own enquiries, verifying any information that is relevant to you, assessing the suitability of any property, Listing, User, offer, service provider or transaction, and obtaining appropriate professional advice before making any decision or entering into any agreement or arrangement.
‍
Kucing does not endorse, recommend, certify, guarantee or assume responsibility for any User, Listing, property, message, review, opinion, statement, recommendation, Third-Party Provider, third-party service, third-party website, professional adviser, document, offer, transaction or arrangement made available through or in connection with the Services.

Kucing may, in its discretion, take steps to review, moderate, remove, restrict, suspend or disable access to any Account, Listing, Member Content or part of the Services in accordance with these Terms. However, Kucing is not obliged to monitor, verify, approve or control all Users, Listings, Member Content, communications or transactions.To the maximum extent permitted by applicable law, Kucing disclaims all liability arising from or in connection with any User conduct, Listing, Member Content, property information, offer, enquiry, viewing, communication, negotiation, transaction, third-party service, professional advice, or reliance on any information made available through or in connection with the Services.

Limitation of liability

To the maximum extent permitted by applicable law, Kucing, its affiliates, and their respective directors, officers, employees, agents, contractors, licensors, service providers and partners shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profits, revenue, business, goodwill, reputation, opportunity, anticipated savings, data, use or other intangible loss, arising out of or in connection with:

(a) these Terms;
(b) your access to, use of, or inability to access or use the Services, the Platform, the App or the Website;
(c) any Kucing Content, Data, Member Content, Listing, message, review, offer, enquiry, viewing, communication or other information made available through or in connection with the Services;
(d) any conduct, act, omission, representation, statement, content or information of any User, Member, Agent User, Listing User, Third-Party Provider or other third party;
(e) any property transaction, proposed transaction, negotiation, arrangement, appointment, viewing, offer, agreement, dispute or interaction between Users or with any third party;
(f) any unauthorised access to or use of the Services, your Account, login credentials, device, systems, data, personal data or other information;
(g) any interruption, suspension, restriction, withdrawal, discontinuance, delay, error, defect, virus, malware, security incident, loss of data or failure of transmission affecting the Services; or
(h) any reliance placed by you on the Services, Kucing Content, Data, Member Content, Listings or any other information made available through or in connection with the Services,whether based on contract, tort, negligence, breach of statutory duty, misrepresentation, warranty, strict liability or any other legal theory, even if Kucing has been advised of the possibility of such loss or damage.

To the maximum extent permitted by applicable law, Kucing assumes no liability or responsibility for:(a) any error, omission, inaccuracy, incompleteness or outdated information in any Kucing Content, Data, Member Content, Listing or other information made available through the Services;
(b) any personal injury, property damage, loss, claim or dispute arising from any viewing, meeting, communication, transaction, arrangement or interaction between Users or with any third party;
(c) any unauthorised access to, use of, alteration of, disclosure of or loss of any Account, personal data, Member Content, messages, documents, systems, servers or other information;
(d) any interruption, delay, suspension, withdrawal, discontinuance, defect, technical issue, security issue or unavailability of the Services;
(e) any virus, malware, harmful code or other damaging material transmitted by any third party through or in connection with the Services;
(f) any Member Content or any defamatory, offensive, unlawful, misleading, fraudulent or inappropriate conduct of any User or third party; or
(g) any advice, document, service, product, act, omission, representation or information provided by any Third-Party Provider or professional service provider.

Subject to the above and to the maximum extent permitted by applicable law, Kucing’s total aggregate liability to you for all claims arising out of or in connection with these Terms, the Services, the Platform, the App, the Website, Kucing Content, Data, Member Content, Listings or any related matter shall not exceed the greater of:
(a) the total amount paid by you to Kucing for the Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim; or
(b) Singapore Dollars One Hundred (S$100). The limitations and exclusions in this clause apply whether the claim is based on contract, tort, negligence, breach of statutory duty, misrepresentation, warranty, strict liability or any other legal theory.

Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury resulting from negligence, fraud, fraudulent misrepresentation, or any other liability that may not lawfully be excluded or limited.

Each limitation, exclusion and disclaimer in these Terms is intended to allocate risk between you and Kucing. The limitations in this clause shall apply even if any limited remedy fails of its essential purpose.

Governing la and disputes

These Terms, and any dispute, claim or matter arising out of or in connection with these Terms, the Services, the Platform, the App, the Website, or any use of the Services, shall be governed by and construed in accordance with the laws of Singapore, without regard to any conflict of law rules.

You agree that the courts of Singapore shall have exclusive jurisdiction to hear and determine any dispute, claim, action or proceeding arising out of or in connection with these Terms, the Services, the Platform, the App, the Website, or any use of the Services.

Kucing operates the Services from Singapore. Kucing makes no representation or warranty that the Services, the Platform, the App, the Website, Kucing Content, Data, Listings or any part of the Services are appropriate, lawful or available for use in any location outside Singapore. If you access or use the Services from outside Singapore, you do so at your own risk and are responsible for complying with all applicable local laws.

General

You agree not to export, re-export, transfer, disclose or otherwise make available any part of the Services, the App, software, technology, data or related materials except in compliance with all applicable export control, sanctions, trade control and other applicable laws, regulations and requirements.

No amendment, waiver or modification of these Terms by you shall be valid unless made in writing and signed by an authorised representative of Kucing. Nothing in this clause limits Kucing’s right to update, amend or replace these Terms in accordance with the section titled “Changes to These Terms.”

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, lawful and enforceable. If such modification is not possible, the relevant provision shall be deemed severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect.

The section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

Kucing may assign, transfer, novate, subcontract or otherwise deal with any of its rights or obligations under these Terms, in whole or in part, at any time, with or without notice to you. You may not assign, transfer, novate, sublicense or otherwise deal with any of your rights or obligations under these Terms without Kucing’s prior written consent.
‍
No failure or delay by Kucing in exercising any right, power or remedy under these Terms shall operate as a waiver of that right, power or remedy. Any waiver by Kucing of any breach of these Terms shall not be treated as a waiver of any subsequent or similar breach.

Except as expressly stated in these Terms, these Terms, together with the Privacy Policy and any additional terms applicable to a specific Service or feature, constitute the entire agreement between you and Kucing in relation to the Services and supersede all prior or contemporaneous communications, understandings, representations or agreements between you and Kucing relating to the Services.

Any provisions of these Terms which by their nature are intended to survive suspension, restriction, termination, expiry or deletion of your Account shall continue to apply, including provisions relating to account obligations, fees, prohibited uses, use of content and data, Member Content, third-party links and services, intellectual property, intellectual property infringement, account deletion, feedback, indemnification, disclaimers, no warranties, limitation of liability, governing law and disputes, communications, notices, contact information, and any other accrued rights or obligations.

Consent to communications

By accessing or using the Services, creating an Account, submitting a Listing, making an enquiry, requesting a viewing, using in-app messaging, contacting Kucing, or otherwise interacting with the Platform, you agree that Kucing may send you service-related communications electronically.

These communications may include notices, account messages, verification messages, security alerts, transaction-related updates, Listing-related notifications, payment notices, subscription notices, customer support messages, changes to the Services, changes to these Terms, Privacy Policy updates, surveys, and other communications relating to your use of the Services.

You agree that any notices, agreements, disclosures or other communications that Kucing sends to you electronically shall satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.
‍
The Services may include web forms, in-app messages, links, phone numbers, contact tools, chat features or other communication methods that allow you to communicate with Kucing, other Users, Members, Agent Users, Listing Users or Third-Party Providers. Such communications may be routed, facilitated, recorded, monitored, stored or processed through third-party communication, messaging, customer support, analytics or technology service providers (“Communications Services”).

Where Kucing records or monitors calls or other communications for quality assurance, training, customer support, security, dispute resolution, compliance, platform integrity or service improvement purposes, Kucing will do so in accordance with its Privacy Policy and applicable law. Where required, you will be notified that a call or communication may be recorded or monitored.

Where communication tools are made available through the Services, Kucing and its Communications Services may collect, use, disclose, store and process information relating to such communications, including contact details, phone numbers, email addresses, message content, call or message metadata, date and time, duration, delivery status, enquiry details, Listing details and other related information, for the purposes described in these Terms and the Privacy Policy.

If you choose to submit a contact form, request an introduction, make an enquiry, request a viewing, contact a Third-Party Provider, or otherwise share your information through the Services, you acknowledge that the relevant information may be shared with the intended recipient or service provider for the purpose of facilitating that request, subject to these Terms, the Privacy Policy and applicable law.

Kucing may send you marketing, promotional or advertising communications only where permitted by applicable law and, where required, with your consent. You may opt out of receiving marketing communications by following the unsubscribe or opt-out instructions provided in the relevant communication, or by using any preference settings made available by Kucing. However, you may continue to receive service-related, transactional, security or account communications that are necessary for the operation or administration of the Services.
You are responsible for ensuring that the contact details associated with your Account are accurate and up to date. Kucing shall not be responsible for any loss or damage arising from your failure to receive communications because your contact details are inaccurate, outdated, blocked, filtered or otherwise unavailable.

Notice to Apple users

If you download, access or use the App on an iOS device or through the Apple App Store, this clause applies to you.

You acknowledge and agree that these Terms are between you and Kucing only, and not with Apple Inc. (“Apple”). Kucing, and not Apple, is solely responsible for the App, the Services and their content, subject to these Terms.
‍
Apple has no obligation to provide any maintenance or support services in relation to the App or the Services.
‍
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, paid for the App. To the maximum extent permitted by applicable law, Apple shall have no other warranty obligation in relation to the App or the Services.
‍
Apple is not responsible for addressing any claims by you or any third party relating to the App, the Services, or your possession or use of the App, including:
(a) product liability claims;
(b) any claim that the App or the Services fail to conform to any applicable legal or regulatory requirement; and
(c) claims arising under consumer protection, privacy or similar legislation.

In the event of any third-party claim that the App, the Services, or your possession or use of the App infringes that third party’s intellectual property rights, Apple shall not be responsible for the investigation, defence, settlement or discharge of such claim.

You agree to comply with all applicable third-party terms when using the App or the Services, including any applicable Apple App Store terms and policies.

You represent and warrant that:
(a) you are not located in a country or territory that is subject to a United States Government embargo, or that has been designated by the United States Government as a “terrorist supporting” country; and
(b) you are not listed on any United States Government list of prohibited or restricted parties.

Apple and Apple’s subsidiaries are third-party beneficiaries of this clause. Upon your acceptance of these Terms, Apple shall have the right, and shall be deemed to have accepted the right, to enforce this clause against you as a third-party beneficiary.
